Так ведь для сборки драйвера нужны исходники ядра.

У меня то же (исходники 2.4.9 установлены), но когда я собираю
дрова, у меня требуют этот файл.

С исходниками 2.4.2 драйвер собирался и просто из тарбола, и со
спеками AltLinux. С 2.4.9 -- нет :-(((
